General Background
The Board of Directors may establish and dissolve standing committees, boards, councils, ad hoc committees, working groups, and other entities necessary to conduct the Association's business, and designate and change their charges and determine their size, member qualifications, and terms (Article IV of the Bylaws, Section 4.9.1).
The following are definitions for these bodies:
Ad Hoc Committees and Working Groups are established by a Board of Directions resolution to address issues that the Board believes a) are single-focused, b) need a timely response, and c) cannot be handled expeditiously by standing committees. Ad hoc committees and working groups are appointed for specific time periods.
Advisory Boards and Councils are deliberative bodies that do not have autonomous or judicial responsibilities. Their function is to identify issues in which action by the Association is needed and to recommend actions for implementation by the Association.
Coordinating Committees are bodies of appointed persons serving as member advisory panels to the Vice President. Their function is to assist the Vice President in exploring and acting on ideas and issues raised by members for action by the Association. They will assist in identifying and prioritizing major issues, in monitoring activities of ad hoc committees, and in recommending and implementing plans.
Councils are deliberative bodies convened for the purpose of advising and planning. Councils may have semi‑autonomous, judicial and/or advisory responsibilities delegated by the Board of Directors. Councils may also function to advise the Board of Directors by proposing board policies, standards and/or directions, and may carry out delegated responsibilities.
Joint Committees are bodies of appointed or elected persons from several organizations or groups. Their function is to exchange information, to conduct cooperative activities, and to recommend actions regarding mutual concern to appropriate bodies in their respective organizations.
Standing Committees, Boards and Councils are advisory to the Board of Directors and recommend policies or execute specific undertakings as approved by the Board of Directors.
The Vice Presidents and the Executive Director shall be responsible for monitoring the activities of all boards, councils, committees, and task forces assigned them by the Board of Directors. The heads of all such appointed bodies shall be designated as "chairs," and shall be responsible for keeping the appropriate member of the Board of Directors informed of their activities, including the submission of reports annually.
